By accessing or using Coniva.ai's cloud-based artificial intelligence service ("Service"), creating an account, or clicking "I agree," you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Service Description

Coniva.ai provides a cloud-based artificial intelligence platform that enables businesses to:

• Create and deploy custom AI Agents trained on their content
• Integrate conversational AI across multiple channels (web, WhatsApp, Facebook Messenger)
• Analyze chat interactions and user engagement
• Manage knowledge bases and training data

The Service includes access to our web application, APIs, documentation, and support services as described in your subscription plan.

3. Account Terms

3.1 Account Creation

• You must provide accurate, complete, and current information
• You must be at least 18 years old
• You are responsible for maintaining account security
• One person or legal entity may not maintain more than one free account

3.2 Account Security

• You are responsible for all activities under your account
• You must immediately notify us of any unauthorized use
• You must not share account credentials
• We are not liable for any loss from unauthorized account access

3.3 Account Types

• Free Trial: Limited features for evaluation purposes
• Paid Subscriptions: Full access based on selected plan

4. Acceptable Use Policy

5. Your Content and Data

• You grant us a limited license to use your content solely to provide the Service
• We claim no ownership rights over your content

5.2 Content License

By uploading content, you grant Coniva.ai a worldwide, non-exclusive, royalty-free license to:

• Generate AI responses based on your content
• Create anonymized analytics and insights
• Provide the Service according to your configurations

5.3 Content Responsibility

• You are solely responsible for your content
• You represent that you have all necessary rights to your content
• You must ensure content complies with all applicable laws

6. Intellectual Property

7. Payment Terms

• Scheduled maintenance is excluded from uptime calculations

12. Limitation of Liability

12.1 Consequential Damages

IN NO EVENT SHALL CONIVA.AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12.2 Total Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Exclusions

Some jurisdictions do not allow limitation of liability, so these limits may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Coniva.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws

14. Termination

14.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

14.2 Termination by Us

We may suspend or terminate your account immediately for:

• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended period of inactivity
• Upon request by law enforcement

14.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data after 30 days
• You remain liable for fees incurred
• Provisions that should survive termination will remain in effect

15. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

17. Specific Terms for Integrations

17.1 Facebook and WhatsApp

When using Meta platform integrations:

• You must comply with Facebook Platform Policies
• You must have necessary rights to process user messages
• You acknowledge Meta's access to conversation metadata
• You must handle user data according to Meta's requirements

17.2 API Usage

• API access is subject to rate limits
• You must not exceed documented limits
• We may throttle or suspend excessive usage
• API changes will be communicated in advance when possible

18. Beta Features

Beta features are provided "as is" without warranties and may be discontinued at any time. Feedback on beta features becomes our property.
